Please read these Terms & Conditions carefully before engaging Driscoll Media for any services or using this website. By accessing driscollmedia.co or entering into a service agreement with us, you agree to be bound by the terms below.
1. ABout Driscoll Media
Driscoll Media ("we," "us," "our") is a digital marketing consultancy based in Chino, California. We provide paid social media advertising services — primarily Facebook and Instagram ad campaigns — to local small businesses. These Terms govern your use of our website and any services we provide to you as a client.
2. Services
Driscoll Media offers social media advertising services as outlined in individual client agreements, including but not limited to:

Setup and management of Facebook and Instagram ad campaigns via Meta Ads Manager

Creation and deployment of Meta Lead Form campaigns

Ad creative development (copy, graphics, and AI-assisted visuals)

Campaign performance reporting and optimization
The specific scope, deliverables, pricing, and timeline for any engagement are defined in the separate service agreement or proposal provided to the client prior to commencement. These Terms & Conditions apply in addition to any such agreement.
3. Client Responsibilites
To enable us to deliver services effectively, clients agree to:

Provide timely access to required business assets, including Meta Business Manager access, ad account credentials, and approved creative materials

Supply accurate information about their business, offers, and target audience

Review and approve ad creative and copy within agreed timelines

Maintain a sufficient ad spend budget as outlined in their service package

Communicate promptly regarding changes to their business, offers, or campaign goals
Driscoll Media is not responsible for delays or underperformance resulting from a client's failure to fulfill these responsibilities.
4. Ad Spend
Ad spend (the budget paid directly to Meta/Facebook to run ads) is separate from and in addition to Driscoll Media's service fees. Clients are solely responsible for funding their Meta ad accounts and maintaining sufficient balance to keep campaigns active.
Driscoll Media does not handle, hold, or process client ad spend funds. All ad budgets are managed directly within the client's own or a designated Meta ad account.
We are not liable for any charges, overspend, or account issues that arise from Meta's billing systems.
5. Fees and Payment
Service fees are as stated in the client's agreed package or proposal. The following payment terms apply unless otherwise specified in writing:

A one-time setup fee is due prior to campaign launch

Monthly management fees are due at the start of each billing period

Invoices not paid within 7 days of the due date may result in campaign pausing

Invoices not paid within 30 days may result in termination of services
All fees are non-refundable once work has commenced for that billing period, except as expressly stated in a written agreement.
6. Performance and Results
Driscoll Media applies industry best practices and professional expertise to every campaign. However, advertising outcomes depend on many factors outside our control, including Meta's algorithm, market conditions, seasonal trends, audience behavior, and the competitiveness of a client's offer.
We do not guarantee specific results such as revenue, bookings, or sales conversions. Where a lead volume target is discussed, it is provided as a good-faith estimate based on typical campaign performance — not a contractual guarantee unless explicitly stated in a written agreement.
Lead Forms are used as our primary trackable performance metric. A "lead" is defined as a form submission received through a Meta Lead Form ad, and does not guarantee that the lead will result in a paying customer.
7. Intellectual Property
Upon receipt of full payment, clients receive a license to use ad creative produced by Driscoll Media for the purposes of their agreed campaign. Ownership of underlying templates, frameworks, systems, and proprietary methodologies remains with Driscoll Media.
Clients represent that any materials they provide to us (logos, photos, copy, business information) are owned by them or that they have the right to use them for advertising purposes. Driscoll Media is not liable for any third-party intellectual property claims arising from client-supplied materials.
8. Confidentiality
Both parties agree to keep confidential any non-public business information shared during the course of the engagement, including pricing, campaign data, client lists, and business strategies. This obligation continues for 12 months following the end of the engagement.
9. Termination
Either party may terminate a service agreement with 14 days' written notice. Upon termination:

All outstanding fees for work completed become immediately due

Driscoll Media will provide reasonable transition assistance, including campaign data and access transfers

Any prepaid fees for future periods will not be refunded unless otherwise agreed in writing
We reserve the right to terminate immediately and without notice if a client engages in abusive conduct, requests that we violate Meta's advertising policies, or fails to make payment after reasonable notice.
10. Meta Platform Compliance
All campaigns managed by Driscoll Media are subject to Meta's Advertising Policies, Community Standards, and Terms of Service. We will not knowingly create or run ads that violate these policies.
If Meta restricts, disapproves, or penalizes an ad account — whether due to client-supplied content, prior account history, or Meta's automated systems — Driscoll Media is not liable for the resulting impact on campaign performance. We will make reasonable efforts to resolve such issues on the client's behalf.
11. Limitation of Liability
To the maximum extent permitted by applicable law, Driscoll Media's total liability to any client for any claim arising from our services shall not exceed the total fees paid by that client in the three (3) months preceding the claim.
We are not liable for any indirect, incidental, consequential, or special damages, including lost revenue, lost profits, or loss of business opportunity, even if we have been advised of the possibility of such damages.
12. Website Use
The content on driscollmedia.co is provided for informational purposes only. You agree not to:

Use the website for any unlawful purpose

Attempt to gain unauthorized access to any part of the site or its systems

Copy, reproduce, or redistribute website content without written permission
We reserve the right to modify or discontinue the website at any time without notice.
13. Governing Law
These Terms & Conditions are governed by the laws of the State of California. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts located in San Bernardino County, California.
14. Changes to These Terms
We may update these Terms & Conditions from time to time. The updated version will be posted on this page with a revised effective date. Continued use of our website or services after any update constitutes your acceptance of the revised terms.
